We are BlueMoso Inc. ("BlueMoso," "we," "us," or "our"), a federally incorporated company in Canada with a principal place of business at 39 Felicia Ct, Thornhill, ON L4J 5K6, Canada. You can reach us at [email protected].

These Applicant Terms govern your application to join BlueMoso's vetted roster of virtual assistants and the process that follows — review, skills assessment, interview, and, if you're accepted, engagement under one of our two service models. They are separate from the general Terms & Conditions that apply to clients of BlueMoso.

BlueMoso offers VA support to clients in two ways, and as an applicant you may be considered for either:

  • Matchmaking (placement). We introduce you to a client who engages you directly. The client pays you; BlueMoso is paid a one-time search fee by the client and is not a party to your ongoing relationship.
  • Managed VA service. You contract with BlueMoso, and BlueMoso provides your services to a client as part of a managed engagement (with our coaching, coverage, and oversight). BlueMoso pays you under your Contractor Agreement; the client pays BlueMoso.

We will tell you which model applies to any given opportunity before you accept it. Sections of these terms that depend on the model (compensation, who pays you, who manages the work) say so explicitly. Sections that don't depend on the model (eligibility, accuracy, confidentiality, non-solicitation) apply equally either way.

By submitting an application or otherwise providing information to us through the apply page, you confirm that you have read, understood, and agree to be bound by these Applicant Terms and by our Applicant Privacy Notice. If you do not agree, please do not submit an application.

§ 01

Who these terms apply to

These Applicant Terms apply to you if you submit an application to be a virtual assistant on the BlueMoso roster, or if you are otherwise considered for a contractor engagement with BlueMoso. They apply from the moment you start providing us information through the apply page and continue to apply for the duration of our evaluation and any subsequent engagement, unless replaced by a signed contractor agreement, which then governs.

These terms do not apply to clients, prospective clients, or general visitors to our website — their use is governed by the Terms & Conditions.

§ 02

What an application means

Submitting an application is an expression of interest. It is not an offer of work, a guarantee of placement, an employment contract, or any commitment by BlueMoso to engage you. Likewise, it does not require you to accept any work that may be offered.

Our evaluation process typically includes one or more of: review of the information you submit, a paid skills assessment, a video interview with our team, and reference or background verification. We will tell you which steps apply at the relevant time.

If you progress, BlueMoso has sole discretion over which clients to introduce you to, the timing of any introduction, the service model (matchmaking or managed) under which an opportunity is offered, and whether to continue presenting you for opportunities. Exercising that discretion does not give rise to any claim by you against BlueMoso.

§ 03

Eligibility

To apply, you must:

  • be at least 18 years of age (or the age of majority in your jurisdiction, if higher);
  • have the legal right to perform remote work for clients in Canada and the United States from the country where you reside;
  • not be subject to any restrictive covenant, non-compete, or other agreement that would prevent you from working with BlueMoso clients;
  • be reachable by the email address and phone number you provide; and
  • be applying on your own behalf, not on behalf of a recruiting agency, staffing firm, or other third party, unless we have agreed otherwise in writing.
§ 04

Your representations

By submitting an application, you represent and warrant that:

  1. the information you have provided — including your name, contact details, country of residence, languages, links to LinkedIn, your portfolio or website, and your resume — is true, accurate, current, and complete;
  2. any files you upload (resume, portfolio, samples, or otherwise) are yours to share, do not infringe the rights of any third party, and do not contain confidential information of any current or former employer or client that you are not authorized to disclose;
  3. your written responses are your own original work and have not been generated wholesale by AI in a way that misrepresents your skill or experience;
  4. you will promptly update us if any of this information materially changes during the evaluation process; and
  5. you are not currently the subject of any criminal investigation, fraud finding, or regulatory action that would reasonably affect a client's decision to work with you.

If we discover at any point that an applicant has misrepresented their experience, identity, or eligibility, we may reject the application, remove the applicant from the roster, and decline future applications.

§ 05

How we evaluate

We aim to review every application within 5–7 business days. If your application moves forward, you will hear from our team by email. If it does not, we may not always be able to provide a detailed reason — we receive a large volume of applications and our roster has limited capacity.

Evaluation criteria include but are not limited to: written communication, professional experience as evidenced by your resume and portfolio, fit with current open client needs, time-zone overlap, English proficiency, and the quality of your written responses on the application.

We do not make hiring decisions on the basis of race, ethnicity, religion, sex, sexual orientation, gender identity, disability, age, or any other characteristic protected under applicable Canadian, U.S., or international law.

§ 06

Skills assessments

If your application moves forward, we may ask you to complete a short skills assessment. Where the assessment requires more than a brief sample of work, we will tell you in advance whether the assessment is paid and at what rate.

Work product produced during a paid skills assessment is owned by BlueMoso once payment for the assessment has been made. Work product produced during an unpaid screening exercise (e.g., a short writing sample) remains your property, but you grant BlueMoso a non-exclusive, royalty-free license to review and discuss it internally for evaluation purposes only.

§ 07

Background & reference checks

Before placing you on the roster, we may, with your consent, contact the references you provide, verify your identity, and conduct other background checks that are lawful in your country of residence. We will not run checks that go beyond what is reasonably necessary to confirm your eligibility and protect our clients.

You may decline a specific check; however, we may not be able to continue your evaluation if a check is required for a particular client engagement.

§ 08

If you're accepted

If we offer you a place on the roster, the terms of the engagement — including scope of work, rates, hours, payment timing, and any client-specific requirements — will be set out in a separate written agreement. The applicable agreement depends on the service model:

  • Matchmaking (placement). You enter into a direct contractor or employment agreement with the client. BlueMoso is not a party to that agreement and assumes no obligations or liabilities arising from it. BlueMoso's role ends with the introduction, onboarding hand-off, and any replacement guarantee window described to the client.
  • Managed VA service. You enter into a Contractor Agreement with BlueMoso, and BlueMoso assigns you to a client as part of the managed service. Your day-to-day work is supervised by the client, but your contractual relationship is with BlueMoso, and BlueMoso handles billing, coaching, coverage, and replacement.

The signed agreement controls in any conflict with these Applicant Terms. You are not engaged, and no compensation is owed to you by BlueMoso or any client, until the applicable agreement is signed and the agreed start date has arrived.

§ 09

Compensation

How you are paid depends on the service model:

  • Matchmaking (placement). Your compensation is agreed directly between you and the client and is paid to you by the client. BlueMoso is not a party to that compensation arrangement, does not take a markup on it, and assumes no obligation to ensure payment of any amounts a client owes you. If a client fails to pay, delays payment, reduces hours, or terminates the engagement after a placement, that matter is between you and the client and is not BlueMoso's responsibility.
  • Managed VA service. Your compensation is the rate set out in your Contractor Agreement with BlueMoso and is paid to you by BlueMoso for hours actually worked under an active client engagement, on the schedule and method specified in that agreement.

Paid for hours worked only. Under the managed service, you are paid for time you actually work on an active client engagement — not for time you are unassigned, idle, on hold between clients, or otherwise not delivering services. BlueMoso does not owe, and does not guarantee, any minimum number of hours, retainer, salary, severance, or pay during periods when you are not actively working for a client.

Effect of client termination. If a client reduces hours, pauses, or terminates a managed engagement for any reason, BlueMoso's obligation to pay you ends with the hours actually worked through the effective date of that change. BlueMoso has no obligation to pay you for hours not worked after that date, to find you replacement work within any particular timeframe, or to compensate you for lost earnings. We will use reasonable efforts to reassign you to another suitable client engagement when one is available, but make no guarantee of doing so.

Payment is processed in U.S. dollars (USD) unless agreed otherwise in writing, typically by direct deposit, Wise, or another method specified in your agreement. You are responsible for declaring your income and paying any taxes, social contributions, or other government remittances required in your country of residence. BlueMoso does not withhold taxes or make payroll contributions on your behalf.

BlueMoso does not charge any fee, placement fee, or referral fee to you for registration, evaluation, introductions, or onboarding. Our fees are paid by the client.

§ 10

Independent contractor status

Under either service model, you will perform services as an independent contractor, not as an employee of BlueMoso or of any client (unless your agreement with a placement client expressly says otherwise, in which case that agreement governs that relationship). Nothing in these Applicant Terms, your written agreement, or your relationship with us creates an employment, partnership, joint venture, or agency relationship with BlueMoso beyond what is expressly set out in writing.

You control how and where you do your work, subject to the legitimate needs of the engagement (such as required meeting times, working hours, security policies, and, under the managed service, BlueMoso's quality and reporting requirements). You are responsible for providing your own equipment, internet connection, and software unless otherwise agreed.

§ 11

Confidentiality

In the course of applying, being assessed, and (if engaged) working with clients, you will receive information that is confidential to BlueMoso, our clients, or third parties. This includes client identities and contact details, business strategies, financial information, customer data, login credentials, internal processes, and any materials shared during the evaluation or onboarding process. It also includes BlueMoso's own screening methodologies, vetting frameworks, candidate assessment tools, sourcing processes, internal playbooks, and client lists, all of which are proprietary to BlueMoso.

You agree to keep all such information strictly confidential, to use it only for the purpose for which it was shared (evaluating and, if relevant, performing the engagement through BlueMoso), and not to disclose, reproduce, or repurpose it for any other end — including approaching a client outside of BlueMoso. This obligation continues indefinitely, including after you stop working with BlueMoso, except for information that becomes public through no fault of yours, was already in your possession without a confidentiality obligation, was independently developed by you without reference to the confidential information, or that you are legally required to disclose.

§ 12

Non-solicitation & non-circumvention

This section is the single most important commitment you make in these Applicant Terms. BlueMoso invests significant time and cost in sourcing, screening, training, and introducing applicants to clients, and the value of our business depends on those introductions being respected.

For as long as you are being evaluated by BlueMoso, and for a period of twelve (12) months after the later of (i) the end of any engagement arranged through BlueMoso, or (ii) BlueMoso's most recent introduction of you to a particular client, you agree that you will not, directly or indirectly:

  • contact, solicit, or approach any client to whom BlueMoso has introduced you, for the purpose of offering or providing virtual assistant services or any other services, outside of an arrangement facilitated by BlueMoso;
  • enter into any direct contractor, employment, consulting, or services arrangement with any such client, without BlueMoso's prior written consent;
  • accept work from any such client through a third party (including another agency, staffing firm, or referral) that has the effect of circumventing BlueMoso; or
  • encourage, assist, or facilitate any other person to solicit, approach, or hire a BlueMoso client in a manner that would circumvent BlueMoso's placement or managed service.

Scope of "introduction." You are considered to have been "introduced" to a client from the moment BlueMoso first shares the client's identity, business information, or contact details with you, or facilitates any interview, communication, trial, or other contact between you and that client — whether a placement or managed engagement results or not.

Notification of direct approaches. If any BlueMoso client (or anyone acting on a client's behalf) approaches you directly with an offer of work, a referral to another business, or any proposal to engage you outside of BlueMoso, you agree to notify BlueMoso in writing at [email protected] within two (2) business days of the approach.

Buy-out. If a client wishes to engage you directly outside of BlueMoso during the restricted period, both you and the client must contact us in writing first. We will not unreasonably withhold consent, but a conversion or buy-out fee may apply, payable by the client.

Liquidated damages. You acknowledge that a breach of this Section would cause BlueMoso loss that is difficult to quantify precisely. Accordingly, in the event of a breach, you agree to pay BlueMoso, as liquidated damages and not as a penalty, an amount equal to the search or conversion fee that BlueMoso would have been entitled to charge the relevant client for the placement of an applicant in the role in question, as determined by reference to BlueMoso's standard fee schedule in effect at the time of the breach. You agree this amount is a genuine pre-estimate of BlueMoso's loss and is reasonable in the circumstances.

Injunctive relief. You acknowledge that a breach or threatened breach of this Section may cause BlueMoso irreparable harm for which monetary damages alone would be inadequate. In addition to any claim for liquidated damages, BlueMoso is entitled to seek injunctive or other equitable relief from a court of competent jurisdiction without the requirement to post bond or other security.

Consideration. You acknowledge that these obligations are entered into in consideration of BlueMoso providing you with access to its client network, evaluation, interview support, and profile development services, which constitutes good and valuable consideration.

§ 13

Intellectual property in your application

You retain ownership of the personal materials you submit with your application, including your resume, portfolio, writing samples, and links. You grant BlueMoso a non-exclusive, worldwide, royalty-free license to store, review, and share these materials internally and, where relevant and with your prior consent, with prospective clients for the purpose of evaluating and matching you.

Suggestions, comments, or feedback you voluntarily give us about our services or processes may be used by us without obligation or compensation to you.

§ 14

Communications

By submitting an application, you consent to receive email and, where you have provided a phone number, messaging communications from us related to your application, the evaluation process, and any potential client matches. You may opt out of non-essential applicant communications at any time by replying "stop" or emailing [email protected]; we will still send transactional communications related to your application.

§ 15

Withdrawing or removing your application

You may withdraw your application at any time by emailing [email protected] from the email address you applied with. We will stop active evaluation within a reasonable time and, on request, delete your application data as described in our Applicant Privacy Notice.

We may close or pause an application at our discretion, including where we have insufficient information to evaluate, where an applicant fails to respond within a reasonable period, or where we determine we are unlikely to make a placement.

§ 16

No guarantee of work

BlueMoso makes no promise that you will be placed on the roster, that you will be matched to a client under either service model, that any particular timeline will be met, or that any particular volume of work will be available if you are engaged. Client demand, role availability, time-zone fit, and market conditions all vary, and the outcome of any evaluation is at BlueMoso's sole discretion.

For matchmaking placements specifically, you acknowledge that BlueMoso's role ends with the introduction, onboarding hand-off, and any replacement window described to the client. BlueMoso is not responsible for the terms, working conditions, performance, payment, termination, or any dispute arising between you and a placement client after the engagement begins, and you agree not to hold BlueMoso responsible for any such matter.

§ 17

Changes to these terms

We may update these Applicant Terms from time to time. If we make material changes, we will revise the "Last updated" date at the top of this page and, where reasonable, notify applicants who are actively being evaluated. Your continued participation in our evaluation process after the changes take effect indicates your acceptance of the updated terms.

§ 18

Governing law & disputes

These Applicant Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute relating to these Applicant Terms or your application will, where the parties cannot resolve it informally, be submitted to binding arbitration in Ontario, Canada, conducted in English under the Arbitration Act, 1991 (Ontario), except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Claims must be brought on an individual basis. Class actions, collective arbitrations, and representative proceedings are not permitted.

§ 19

Limitation of liability

No liability for placement outcomes. BlueMoso is not liable to you for any loss, damage, lost earnings, lost opportunity, or expense arising from: (a) our decision not to advance your application or place you on the roster; (b) any client's decision not to interview, hire, or continue working with you; (c) the timing, length, or absence of any placement or managed engagement; (d) a client's decision to reduce hours, pause, terminate, or otherwise change an engagement; (e) any dispute, conduct, or non-payment arising between you and a placement client; or (f) any other outcome that depends on a client, market conditions, or factors outside BlueMoso's reasonable control. You acknowledge that placement and engagement outcomes are inherently uncertain, that BlueMoso does not guarantee any specific result, and that you are accepting the risk of those outcomes by participating in the evaluation and engagement process.

No liability post-placement. For matchmaking placements, BlueMoso has no ongoing role in or responsibility for any aspect of your relationship with the client after the introduction has been made, including the terms of engagement, scope of work, working conditions, compensation, termination, or any dispute between you and the client.

No consequential damages. To the fullest extent permitted by law, BlueMoso and its directors, officers, employees, contractors, and agents will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind arising from or related to your application, these Applicant Terms, any introduction, or any engagement — including loss of expected income, business opportunity, reputation, or goodwill — whether or not BlueMoso has been advised of the possibility of such damages.

Cap on liability. Notwithstanding anything to the contrary, and to the maximum extent permitted by applicable law, BlueMoso's aggregate liability to you for any and all claims arising from or related to your application, these Applicant Terms, or any introduction made by BlueMoso, prior to the signing of a written engagement agreement, shall not exceed one hundred Canadian dollars (CAD $100.00). After a written engagement agreement is signed, liability is governed by that agreement.
